Terms of Service
These terms apply when you download, trial, buy, or use SmartECU Desk (“Desk”). They are a contract between you and Callum James Rosser trading as SmartECU Solutions (ABN 92 454 641 272) (“we”, “us”).
By installing Desk, starting a trial, or paying for a licence, you agree to these terms. If you buy for a workshop, you confirm you can bind that business.
1. What Desk is
Desk is Windows workshop software for diesel performance shops. It keeps a job, overlays factory and modified road logs, and prints a one-page customer sheet.
Desk estimates wheel power and torque from road-load (how road speed changes against time, the mass on the job, rolling resistance, and a simple aero term). Torque is inferred from that power and engine speed.
Desk is not a chassis, hub, or engine dynamometer. It is not a Virtual Dyno clone. It is not an OEM diagnostic application. It is not a flash tool or map editor. Figures on the sheet are road-load estimates, not a dyno-cell certificate, and are not a correlation to a named dynamometer.
You are responsible for how printed sheets are described to the vehicle owner. Do not present an estimate as a certified dyno result.
2. Licence — one key, one PC
A paid licence is a limited, non-exclusive, non-transferable right to run Desk on one workshop computer.
- The key is tied to the workshop email and that computer’s Machine ID (Help → Copy machine ID).
- Forwarding a key to another PC will not Activate.
- A second workshop computer is a second seat and needs its own paid quantity.
- You may not share, resell, rent, or publish keys, builds, or licence files.
- We own Desk, the name, the installer, and all related intellectual property. You own your job data, logs, ECU files, and customer records. Optional anonymous stats (section 10A) do not transfer ownership of those files.
3. Trial
First install includes a 14-day trial. After the trial, Desk requires a paid key. Trial use is for evaluation on one PC. Trial access may be limited or withdrawn if it is abused (including repeated fresh installs to dodge the trial).
4. Plans, billing, and GST
Paid plans are sold per workshop PC (seat):
- Monthly — A$49 per PC, billed in advance each month.
- Yearly — A$490 per PC, billed in advance each year.
Prices are in Australian dollars. If we are required to charge GST, it will be shown at checkout and on the tax invoice. If we are not required to charge GST, the price at checkout is the price you pay.
Subscriptions renew automatically at the end of the period until you cancel. Payment is processed by Stripe. Failed payment may suspend the key until the invoice is paid.
Quantity at checkout is the number of PCs. Changing quantity mid-cycle may be prorated by Stripe.
5. Cancellation
You may cancel at any time from the Stripe customer portal or by emailing [email protected]. Cancellation takes effect at the end of the current paid period. You keep using Desk until that date. We do not refund unused time on a change of mind. See the Store Policy for refunds and Australian Consumer Law rights.
6. Updates and support
While a paid licence is active, Desk may receive in-app updates from app.smartecusolutions.com.au. We do not promise a particular update schedule or that every vehicle, module, sample rate, or log format will be supported.
Support is by email to [email protected] on business days, Western Australia time. We aim to reply within two business days.
7. Your responsibilities
- Enter mass, tyre, and job details honestly. A wrong mass or a large change in rolling radius will falsify indicated speed and estimated kW.
- Use official tools for live data where required. Desk does not invent injection volume, rail target, or vanes from an adapter — those values come from the log you load.
- Mode 04 code clear is your action. Fix the fault first.
- Keep your email, Machine ID, and payment details current.
- Comply with Australian Consumer Law when you describe the sheet to a vehicle owner. The sheet is a workshop record and a road-load estimate.
8. Acceptable use
Do not reverse engineer Desk except as allowed by law, attack our servers, resell seats, use Desk to make a false performance claim, or turn on anonymous stats and then feed us files that still contain another workshop’s customer identity. We may suspend a key if we reasonably believe these terms are being broken, or if payment fails.
9. Disclaimer and liability
Desk is supplied for workshop record-keeping and log comparison. Road-load figures are estimates. We are not liable for lost jobs, vehicle damage, failed inspection, or commercial claims made from an estimate, except to the extent we cannot exclude liability under the Australian Consumer Law.
If the ACL applies to your purchase and Desk fails a consumer guarantee, your rights are not excluded. Where we are allowed to limit liability for a failure that is not a major failure, our liability is limited to resupplying Desk or paying the cost of resupply.
To the extent permitted by law, we are not liable for indirect or consequential loss, including lost profit, lost bookings, or damage to a vehicle or relationship with a customer.
10. Privacy
We collect the workshop email, Machine ID, job metadata you store in Desk, and payment details processed by Stripe. We use that information to issue keys, bill you, send updates, and support the product. We do not sell customer lists. Stripe’s own terms apply to card data. See the Privacy Policy and Store Policy.
10A. Anonymous pull stats
Installing or continuing to use Desk after these terms, and accepting the in-app terms tick, means anonymous pull stats are on unless you turn the Settings tick off. After you mark a job Completed, Desk may send:
- engine family, mass band, job type, and rounded factory / modified road-load peaks
- road-log channel header names
- a stripped copy of the road-log CSV with customer, VIN, plate and path fields removed
You agree that payload is not treated as your confidential job file. We may use it to improve Desk and to publish aggregated shop-stock figures. We will not treat ECU binaries, Job Packs, overlay images, or named customer records as part of this setting. Those stay on your PC unless you email them for support.
You may turn the tick off at any time in Settings. That stops new sends and clears the local queue. Support remains email of a Job Pack when you want us to see the real truck.
11. Changes
We may update these terms. The current version will be published at smartecusolutions.com.au/terms. Material changes will be emailed to the licence address where practical. Continued use after the update is acceptance of the new terms.
12. Law
These terms are governed by the laws of Western Australia and the Commonwealth of Australia. Courts of Western Australia have jurisdiction, except where the ACL gives you another forum.
